These Terms of Service ("Terms") govern your use of Quill & Tankard (the "Service"), operated by Tidis Ventures LLC ("Company", "we", "us", or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Quill & Tankard is built for 5e and compatible with it. It is not affiliated with, endorsed by, or sponsored by Wizards of the Coast.
Eligibility
You must be at least 18 years old to use the Service. By using it, you represent that you meet this requirement.
The Service
The Service is a set of browser-based tools for running tabletop games: a soundboard, a combat tracker, a roster, and an item tracker. There is no account and no fee for the capabilities offered today. We may add, change, or remove capabilities, including ones with a fee, and may modify, suspend, or discontinue the Service, in whole or in part, at any time.
The Service is provided on an "as is" and "as available" basis. We do not guarantee it will be available at any given time, free of errors, or uninterrupted.
Your data is stored in your browser, and keeping it is your responsibility
Campaigns, characters, items, encounters, and soundboard settings are stored only in your own browser. We have no copy of them and cannot restore them. Clearing your browser storage, switching browsers, or switching devices deletes that data permanently. You are solely responsible for keeping your own backups; the Dashboard offers an export function for that purpose.
Your content
Anything you create in the Service, including campaigns, characters, items, and notes, remains yours. Because that content is never stored on our servers, you are not granting us any license to it by using the Service.
Where the Service includes rules or stat content drawn from the 5e System Reference Document, that content is used under its Creative Commons Attribution 4.0 license and remains subject to that license's terms.
Sharing an item produces a link that encodes the item itself into the web address. Anyone with that link can open it. You are solely responsible for deciding what you share and with whom; once a link is sent, treat its contents as public.
Third-party services
The soundboard can play YouTube links and direct audio-file links you choose to add. Playing either kind connects your browser directly to that service or host, and that service's own terms govern the connection. We do not operate, control, endorse, or accept responsibility for any third-party service or content a link you add points to.
Acceptable use
You agree not to:
Use the Service for any unlawful purpose, or in violation of any applicable law or regulation.
Attempt to gain unauthorized access to, disrupt, overload, or impair the Service or the systems it runs on.
Scrape, mine, or systematically extract data from a shared item link or from the Service, beyond viewing an item you were given a link to.
Reverse engineer, decompile, or attempt to derive the source code of the Service, except where applicable law permits it despite this restriction.
Use the Service to infringe the intellectual property, privacy, or other rights of any third party.
Interfere with any other user's use of the Service.
Feedback you send us
If you submit feedback, suggestions, or ideas through the feedback form, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use them for any purpose, without compensation or attribution to you. You are not obligated to submit feedback, and nothing is sent until you press Send.
Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be accurate, reliable, uninterrupted, or error-free, or that any data you store will not be lost.
Limitation of liability
To the fullest extent permitted by law, Tidis Ventures LLC and its owners, contributors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, use, goodwill, or profits, arising from or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages. Our total liability for any claim arising from the Service will not exceed one hundred US dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. In those jurisdictions, the limitations above apply only to the extent permitted by law.
Indemnification
You agree to indemnify and hold harmless Tidis Ventures LLC, its owners, contributors, and agents from any claim, liability, damage, loss, or expense, including reasonable attorneys' fees, arising out of your use of the Service, your content, or your violation of these Terms.
Ending your use of the Service
You may stop using the Service at any time. We may restrict or block access to the Service, for anyone we reasonably believe has violated these Terms, without notice. Because there is no account, "restricting access" is limited to measures like blocking a source of abusive traffic; it does not mean deleting data, since we hold none of yours.
Changes to these Terms
We may update these Terms as the Service changes. The date at the top of this page shows when the current version took effect. Continuing to use the Service after a change means you accept the new Terms.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court. You and Tidis Ventures LLC each waive the right to a jury trial and to participate in a class action, class arbitration, or representative proceeding. Where applicable law does not permit an arbitration or class-action-waiver requirement of this kind, that requirement does not apply to you, and the dispute is resolved in the courts located in Florida instead.
If you are outside the United States
The Service is operated from the United States. If you access it from outside the United States, you do so on your own initiative and are responsible for complying with local law. Nothing in these Terms limits any consumer-protection right that the law of your country makes non-waivable; where these Terms conflict with such a right, the right controls to the extent required by that law and these Terms otherwise remain in effect.
General terms
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any part of these Terms is not a waiver of it. These Terms are the entire agreement between you and Tidis Ventures LLC regarding the Service, and replace any earlier agreement on the same subject. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
